LEGAL NOTICE


    Under instructions from and on behalf of my Client above said, and on the basis of the documents placed before me, I hereby serve upon all of you the following Legal Notice.


1.    That you, the Addressee No. ___ had represented to My Client that you were a ____________ in Addressee No. ___ and Addressee No. ___ Companies and you had further represented that Addressee No. ___ had purchased the property bearing Plot No. ------------------ admeasuring -- sq.mtr. (------- sq.yds) from M/s ____________ i.e. Addressee No. ___ Company vide Plot Buyers Agreement dated -----, for a total consideration of Rs.------------, out of which a sum of Rs.---------------- had been paid by the Addressee No. ___ to Addressee No. ___ company as advance payment.  It was further represented to My Client that clause ___ of the said Plot Buyers Agreement dated ------ provided for the substitution of the nominee of the purchaser i.e. Addressee No. ___. 


2. That based on the assurances and representations given by you, the Addressee No. ___, My Client agreed to purchase the above said property from the Addressee No. ___.  In furtherance thereof an Agreement to Sell dated --------was executed between Addressee No. ___ i.e. M/s --------- a Company incorporated under the Companies Act, 1956, having its registered office at --------------, through its ____________ Mr. ---------- and  My Client above said in respect of property bearing Plot No. -------at--------------, for a total sale consideration of Rs.----------and as per Clause No.____ of the aforesaid Agreement to Sell dated ---------, an amount of Rs.---------- was paid as earnest money by My Client to you the Addressee No. ___ vide cheque No.-------dated ---------- drawn on ------------------------.


3.    That further as per Clause No.____ of the aforesaid Agreement to Sell dated ------------, a sum of Rs.----------- was agreed to be paid by My Client to Addressee No.1, simultaneously  on execution and registration of the Sale Deed by Addressee No. ___ i.e.  M/s -------------in favour of My Client.


4.    That as per Clause No.____ of the above Agreement to Sell dated ---, a sum of Rs.---------------- was agreed to be paid by My Client to Addressee No. ___ i.e. M/s --------------, simultaneously  on execution and registration of the Sale Deed by  M/s ------------------ in favour of My Client


5.    That vide letter dated ------------, addressed by Addressee No.1 to My Client, the time for execution and registration of the Sale Deed in favour of My Client as well as for making the balance payment by My Client as mentioned in Para /Clause No.____ and Para/Clause No.____ of the aforesaid Agreement to Sell dated ------------ was extended till ---------, with all other terms and conditions of the above Agreement to Sell dated ------------ remaining unchanged.


6.    That as per the above Agreement to Sell dated ----------- read with above letter dated -------------, My Client is liable to make the following payments on or before ----------- simultaneously on execution and registration of the Sale Deed of Plot No.------------------, by M/s --------------- in favour of My Client.  The details of the payments to be made by My Client are as follows :-    


  1. Rs.-------------------- by a pay order drawn in favour of Addressee No.1, M/s --------------------------------

  2. Rs.------------------ by a pay order drawn in favour of  M/s --------------------------


7.    Now under instructions of and on behalf My Client above named, I hereby NOTIFY all of you that My Client above said is ready with the above payments due to be made  by My Client as per the above Agreement to Sell dated ------------- read with Letter dated ------------, and My Client has already got the following Pay Orders prepared so as  to fulfill his part of the obligations under the above Agreement to Sell dated ------------- with Letter dated -----------.  The details of these Pay Orders are as follows :-


  1. Pay Order No.---------- dated -------- drawn on ------------ for Rs. ------------------ and in favour of  Addressee No. ___ i.e. M/s ------------------------

(iii)    You are further notified that My Client, M/s ----------------. is also ready with cash amounting to Rs.---------------------/- for  purchase of the requisite Stamp Paper  for execution and registration of the Sale Deed in respect of Plot No.------------------ by M/s ----------- in favour of My Client M/s ----------


You are further NOTIFIED that My Client, M/s ------------

through its Managing Director ----------,  shall present himself in the Office of Sub-Registrar, ------------  at -----. on ---------- along with  above two pay orders mentioned at Para/Clause No.____ and .____ above and cash of Rs.--------------- as mentioned in Para/Clause No.____ above, for purchase of the requisite Stamp Papers for  execution and registration of the Sale Deed  by M/s --------------  in favour of M/s --------------and also for handing over the above payments to M/s ------------ & M/s ---------------- simultaneously with the  execution and registration of the Sale Deed of  Plot No.----------------- by  M/s ----------- in favour of My Client M/s ----------------------.


8.    A photocopy of the above two Pay Orders mentioned at Para/ Clause No.____ and .____ above is enclosed herewith as Annexure “__” and Annexure “__”, for your information.  A photocopy of a certificate from the Manager, Corporation Bank certifying the withdrawal of cash of Rs.--------------- -by M/s -----------------from its Bank Account No. --------- with --------------- Bank, is also enclosed herewith as Annexure “__” for your information.


9.    In view of what has been stated herein above I, through this legal notice call upon you the addressees to present yourself on ----- at ------ in the Office of Sub-Registrar, ------------ so as to fulfill your part of the obligations under the above Agreement to Sell dated ----------- read with Letter dated ------------ and to receive the above payments and simultaneously complete the execution and registration of the Sale Deed of  Plot No.---------------- by M/s ------------in favour of My Client, M/s---------------------------


You may further take notice that in case you fail to present yourself on ---------- at -------------- in the Office of Sub-Registrar, ------------ for receiving the above payments and also completing the execution and registration of the Sale Deed of Plot No.-------------- by M/s ------------in favour of My Client, M/s ----------------  so as to discharge your part of the obligations under the above Agreement to Sell dated ---------read with Letter dated -----------, My Client M/s -------------- will proceed to  record his presence  in the Office of Sub-Registrar, ------------ and shall be at liberty to initiate appropriate legal proceedings (civil or criminal or both)  against you the addressees including suit for specific performance of the above Agreement to Sell dated   ------------ read with Letter dated ------------- and all such proceedings so initiated shall purely be at your  risk,  peril and cost.


You may further note that the present notice is being issued to you WITHOUT PREJUDICE to all the rights and contentions of My Client above said including the rights and contentions of My Client above said in the following court cases which are pending before the Hon’ble High Court of ------------ at New ------------.
